PROXIES FOR BODY CORPORATE MEETINGS

STANDARD MODULE


 

Section 108 Form of Proxy

  1. A proxy under this part:
    1. must be in the approved form; and
    2. must be in the English language; and
    3. cannot be irrevocable; and
    4. cannot be transferred by the holder of the proxy to a third person; and
    5. lapses at the end of the body corporate’s financial year or at the end of a shorter period stated in the proxy; and
    6. may be given by any person who has the right to vote at a general meeting; and
    7. subject to the limitations contained in this part, may be given to any individual; and
    8. must appoint a named individual.
  2. A proxy, other than a proxy that, under this part, may be exercised by the original owner, must be in a document separate from a contract.

Section 107 Appointment

  1. A voter for the general meeting may appoint a proxy to act for the person at the general meeting.
  2. However, the body corporate may by special resolution prohibit the use of proxies:
    1. for particular things described in the special resolution; or
    2. altogether
  3. An appointment under subsection (1) has effect subject to the operation of a special resolution under subsection (2).
  4. A person must not hold:
    1. if there are 20 or more lots included in the community titles scheme – proxies greater in number than 5% of the lots; or
    2. if there are fewer than 20 lots included in the scheme – more than 1 proxy.
  5. The appointment of a proxy is effective only if the voter or the holder of the proxy gives by hand, by post or by facsimile, a properly completed proxy form to the secretary before:
    1. the start of the meeting at which the proxy is to be exercised; or
    2. if the body corporate has fixed an earlier time by which proxies must be given (that cannot, however, be earlier than 24 hours before the time fixed for the meeting) – the earlier time.

Section 54 Appointment

3. A voter for the general meeting may appoint a proxy to act for the person at the general meeting.

6. The appointment of proxy is effective only if the voter or the holder of the proxy gives, by hand, by post or by facsimile, a properly completed proxy form to the secretary before –

        (a) The start of the meeting where the proxy is to be exercised; or

        (b) If the Body Corporate has fixed an earlier time by which proxies must be given (that cannot, however, be earlier than 24 hours before the time fixed for the meeting) – the earlier time.

Section 55 Form of proxy

A proxy under this division:

    (i) must be in the approved form; and

    (j) must be in the English language; and

    (k) cannot be irrevocable; and

    (l) cannot be transferred by the holder of the proxy to a third person; and

    (m) lapses at the end of the Body Corporate’s financial year or at the end of a shorter period stated in the proxy; and

    (n) may be given by any person who has the right to vote at a general meeting; and

    (o) subject to the limitations contained in this division, may be given to any person.

    (p) must appoint a named individual.

Section 74 Appointment

(1) A voter for the general meeting may appoint a proxy to act for the person at the general meeting.

(2) The appointment of a proxy is effective only if the voter or the holder of the proxy gives, by hand, by post or by facsimile, a properly completed proxy form to the secretary before -

    (a) The start of the meeting where the proxy is to be exercised; or

    (b) If the Body Corporate has fixed an earlier time by which proxies must be given (that can not, however, be earlier than 24 hours before the time fixed for the meeting) – the earlier time.

Section 75 Form of Proxy

(1) A proxy under this part:

    (q) must be in the approved form; and

    (r) must be in the English language; and

    (s) can not be irrevocable; and

    (t) can not be transferred by the holder of the proxy to a third person; and

    (u) may be given by any person who has the right to vote at a general meeting; and

    (v) subject to the limitations contained in this part, may be given to any individual; and

    (w) must appoint a named individual.

(2) A proxy, other than a proxy exercised by the original owner, must be in a document separate from a contract.

 

ACCOMMODATION MODULE

Section 105    Appointment

        4. A voter for the general meeting may appoint a proxy to act for the person at the general meeting.

        5. However, the Body Corporate may by special resolution prohibit the use of proxies:

            (c) for particular things described in the special resolution; or

            (d) altogether

            (a) if there are 20 or more lots included in the community titles scheme – proxies from persons greater in number than 10% of the lots; or

            (b) if there are fewer than 20 lots included in the scheme – more than 1 proxy.

        9. The appointment of a proxy is effective only if the voter or the holder of the proxy gives, by hand, by post or by facsimile, a properly completed proxy form to the secretary before:

            (c) the start of the meeting at which the proxy is to be exercised; or

            (d) if the Body Corporate has fixed an earlier time by which proxies must be given (that cannot, however, be earlier than 24 hours before the time fixed for the meeting) – the earlier time.

(z) cannot be irrevocable; and

(aa) cannot be transferred by the holder of the proxy to a third person; and

(bb) lapses at the end of the Body Corporate financial year or at the end of a shorter period stated in the proxy; and

(cc) may be given by any person who has the right to vote at a general meeting; and

(dd) subject to the limitations contained in this part, may be given to any individual; and

(ee) must appoint a named individual.

(2) A proxy, other than a proxy that, under this part, may be exercised by the original owner, must be in a document separate from a contract.
